The idea of digital currency has been around for quite some time. In the early 1980s, Computer Scientist David Chaum first popularized the idea of digital cash in his paper titled “Blind Signatures for Untraceable Payments.” What started as an idea quickly prospered during the 1990s dot-com boom, where an influx of internet companies jumped on the digital currency trend, with many more following suit.
While the digitization of currency took off in the 1990s and early 2000s, the concept of a decentralized currency was still in its infancy and was not introduced until the inception of Bitcoin in 2009. What followed was the emergence of several decentralized digital currencies shortly after, deemed “cryptocurrency.”
As cryptocurrency laid the framework for decentralization, the idea to raise capital through these channels, leveraging blockchain technology, soon emerged. The Initial Coin Offering (ICO) involved issuing virtual assets to be used similar to cash or within a platform yet to be built. ICOs are similar to IPOs in that they attempt to raise funds from the public. Unlike IPOs, however, the coins issued via ICOs are backed more with ideas or a future concept of what is to come, rather than the tangible assets and ownership that come with a traditional IPO. These coins, in a real sense, were analogous to virtual coupons or IOUs.
Because the concept of cryptocurrency was still relatively new, regulation was a significant issue, and ICOs fell into the gray areas of regulation. With the relative ease in raising quick capital, paired with the unregulated ICO market, malicious actors soon joined the ranks, offering new coins to the public to raise considerable funds in a short amount of time.
After numerous high-profile scandals surrounding ICOs hit the news, investors became rightfully wary of the concept, often comparing ICOs to the likes of penny stocks and other high-risk speculative investments.
After several crypto exchange platforms emerged and stepped in to play the role as a quasi-regulator, the wariness surrounding ICOs settled down. However, there was still a major issue: the coins were not backed by any underlying assets. Thus, the stability and credibility of these coins as an investment vehicle were still not ideal.
In hindsight, the collapse of the ICO was necessary to pave the way for more regulated, asset-backed tokens: tokenized digital securities. These security tokens are offered via a Security Token Offering (STO), are exchange-based, and backed by real assets while utilizing the decentralized blockchain technology that makes cryptocurrency so popular.
What separates STOs from traditional coin offerings is that they are asset- backed and exchanged within a highly regulated environment, which significantly increases their appeal to investors. Security tokens are very similar to traditional securities, and because private companies can now essentially monetize illiquid assets such as private stock and IP through tokenization via an STO, the relative transaction costs are significantly lower, making this a breakthrough technology.
